1. Acceptance of Terms
These Terms of Service ("Terms") govern your use of the Mount Elevate platform. By registering for an account or using our services, the organization ("Customer," "you," or "your") agrees to be bound by these Terms.
2. Provision of Service & Accounts
- License: We grant Customer a limited, non-exclusive, non-transferable right to access and use the platform for its internal business training and educational purposes.
- Authorized Users: Customer may invite its employees to use the platform. Customer is responsible for ensuring that its Authorized Users comply with these Terms and is liable for all activities occurring under its account.
3. Intellectual Property
- Our Content: Mount Elevate owns all rights, title, and interest in the platform's software, design, and any pre-packaged course content provided by us.
- Customer Content: Any data, assignments, files, or custom courses uploaded by the Customer or its Authorized Users remains the property of the Customer. Customer grants us a license to host, process, and display this content solely to provide the service.
4. Acceptable Use
Customers and Authorized Users shall not:
- Use the platform for any illegal or unauthorized purpose.
- Attempt to reverse engineer, decompile, or hack the platform.
- Upload malware, viruses, or inappropriate/offensive content.
- Share account credentials with unauthorized individuals.
5. Fees and Payment
- Subscriptions: Access to the platform is billed on a subscription basis as outlined in your order form or our pricing page.
- Payment: Fees are non-refundable except as required by law. If payment is not received, we reserve the right to suspend or terminate your account.
6. Data Privacy and Security
We implement industry-standard security measures to protect Customer data. Our processing of personal data is governed by our Privacy Policy and, if applicable, a separate Data Processing Agreement (DPA).
7. Disclaimer of Warranties
The platform is provided on an "AS IS" and "AS AVAILABLE" basis. We do not warrant that the platform will be uninterrupted, error-free, or guarantee any specific educational outcomes or certifications for Authorized Users.
8. Limitation of Liability
To the maximum extent permitted by law, in no event shall Mount Elevate be liable for any indirect, incidental, or consequential damages. Our total liability shall not exceed the amount paid by the Customer to us in the twelve (12) months preceding the claim.
9. Term and Termination
Either party may terminate these Terms with written notice if the other party breaches a material provision. Upon termination, Customer's right to access the platform immediately ceases, and we will delete Customer data in accordance with our retention policies.
10. Governing Law
These Terms shall be governed by and construed in accordance with the laws of Australia, without regard to its conflict of law principles.
